The Agreement on Sub-wallet Payment Service of E-CNY Wallet of Bank of China Limited (the “Agreement”) is a valid contract entered into by and between Bank of China Limited (“BOC” or “we”) and users (“you”) of BOC’s e-CNY wallet (“e-CNY wallet”) with respect to matters relevant to the Quick Pay service (the “Service”) of the sub-wallet of e-CNY wallet (the “sub-wallet”). You shall read through the Agreement carefully, especially the contents in bold, before executing the Agreement. If you have any questions or objections to the Agreement, please do not proceed with the subsequent operations. You may dial the e-CNY customer service hotline 4001391000, or BOC’s customer service hotline 95566 for explanation and clarification. Clicking the “Confirm” button on the web page or accepting the Agreement in other ways indicates that you acknowledge, fully understand and agree on all the contents of the Agreement.
I. Introduction to the Service
1.1 Sub-wallet payment, also known as sub-wallet push, is a service BOC provides for you to make payments to e-CNY online merchants.
1.2 Sub-wallet merchants refer to merchants or merchant platforms that require the using of sub-wallet payment services. The qualified merchants will be granted the capacity of sub-wallet payment upon approval by BOC. After you authorize BOC to enable the sub-wallet payment service with the designated merchant, the merchant can deduct money from your sub-wallet and transfer it to its own wallet, or to the wallet of others if the merchant is a platform.
II. Functions of the Service
Sub-wallet payment functions include push, inquiry, limit and removal.
2.1 Sub-wallet push refers to the service that you open up a sub-wallet on the basis of an e-CNY wallet (the “main wallet”), link it with a merchant, and make Quick Pay (that is lower than a threshold) in such merchant by transferring money from your main wallet, with no information on your main wallet being acquired by the merchant. On receiving the money deduction instruction you authorize a specific merchant to send to BOC, BOC will transfer money from your main wallet according to the instruction, deduct the transaction amount via the sub-wallet, and transfer it to the e-CNY wallet specified by the merchant, without verifying your payment PIN, SMS verification code and other information.
The Service adopts two approaches, “push” and “reverse link”, to link your sub-wallet with merchants.
2.1.1 “Push” means that you open up a sub-wallet of BOC’s e-CNY wallet on the e-CNY APP and link it with merchants.
When pushing sub-wallet to merchants, priority will be given to the merchants at which you have registered an account with the mobile number linked with your wallet. You can also activate the merchant APP and log in other accounts to complete the push. If your mobile number for sub-wallet push is not registered on the merchant APP, you can choose silent push. That is, BOC pushes your mobile number to the merchant, then the merchant uses your mobile number to open an account for you. BOC opens a sub-wallet for you simultaneously and pushes it to the merchant for linking.
You can use the function of sub-wallet one-click push to push your sub-wallet to multiple merchant APPs at the same time, on the condition that you authorize BOC to acquire information on APPs installed on your mobile terminal. One-click push function does not support silent push at present.
2.1.2 “Reverse link” means that you activate the e-CNY APP from the merchant side, open a sub-wallet of BOC’s e-CNY wallet, and link it with the merchant.
2.2 Inquiry about sub-wallet enables you to view the push status of sub-wallet on the e-CNY APP.
2.3 Limit of sub-wallet is by default the same as the main wallet upon the activation of the Service. You may adjust the payment limit at your discretion, provided that the limit is lower than that of the main wallet.
2.4 When you make payments in certain scenarios, the relevant order will indicate that the payment amount will be deducted from your sub-wallet. If you choose not to use this payment method for the order, you may not confirm the order and close the order.
2.5 As merchants are involved, if merchants have requirements for the payment limit, the Service will be provided in line with the merchants’ payment rules and requirements on the basis of BOC’s requirements on the payment limit.
2.6 You can inquire about the information on a specific merchant you have authorized on the page of payment management. You can also disable the Service. Once you have disabled the Service, e-CNY wallet payment may not work normally in some scenarios.
2.7 The Service is free of charge. If there are pay items later, we will inform you in advance of the fee rates and charging time in ways of announcements in accordance with laws, regulations and regulatory requirements.
III. Usage of the Service
3.1 You consent and confirm that you use the Service out of your true will. Meanwhile, you are fully responsible for the authenticity and effectiveness of the instructions sent during the Service. Such instructions shall be regarded as your true will and cannot be changed or revoked. You commit to assuming all the risks arising from BOC’s operations according to your instructions.
3.2 You commit not to leveraging the Service to behave in a way that is illegal, against the purposes of the Agreement or in violation of rights and benefits of merchants. Otherwise, BOC has the right to terminate the Service unilaterally and assume no corresponding responsibility. If you cause any loss to BOC, you shall make compensation by law.
3.3 You understand and confirm that the specific merchants authorized by you include your service providers, other recipients agreed on by both of you and the service providers or insurers (if any) which have a claim against you after they pay the payables for you to the merchant to whom you fail to pay in full in time. You authorize BOC to transfer money from your main wallet according to the instruction of the aforementioned merchant, deduct the transaction amount via the sub-wallet, and transfer it to the e-CNY wallet specified by the merchant, without verifying your payment PIN, SMS verification code and other information. Unless otherwise agreed between BOC and you, the authorization is permanently valid.
3.4 You consent and confirm that BOC assumes no responsibility for late payment, payment error, failure to pay the designated transaction amount in full, and all other losses and disputes resulting from an insufficient e-CNY balance in your wallet, or e-CNY wallet suspension, deactivation or cancellation, or other causes not attributable to BOC.
3.5 You consent and confirm that, when the sub-wallet is being pushed, BOC needs to provide your mobile number to the merchants.
3.6 You consent and confirm that the Service is a value-added service provided by BOC for you. BOC acts as the execution party of the Quick Pay instructions, thus bearing no obligation to review the authenticity and accuracy of the instructions. BOC shall not be liable for any of your direct or indirect loss arising from the fulfillment of the Agreement, unless BOC fails to act on your authorization and the instructions from merchants designated by you, or acts in a wrong way. In case of any objection against the specific business types and transaction amount of the Service, or any dispute with the specific merchant incurred from purchasing its products or services, you shall deal with it through negotiation with the specific merchant or in a judicial way.
3.7 BOC has the right to restrict the scenarios, fund channels and payment limit of the Service for the sake of risk control. The specific regulations shall be subject to the prompt on the web page. BOC has the right to lower your limit and times of Quick Pay based on the actual situation and the need for risk control. However, BOC will not increase your limit and times of Quick Pay without your consent.
3.8 Except as otherwise stipulated by law, BOC has the right to suspend/terminate the service unilaterally without assuming any indemnification responsibility, due to external reasons such as supervision requirement or third party service suspense/termination.
IV. Privacy Protection
4.1 BOC values your privacy. Your private information will be protected and regulated according to the E-CNY Wallet Privacy Policy of Bank of China Limited.
V. Others
5.1 You understand and agree that BOC has the right to revise the content of the Agreement according to the adjustment of business operation or updated services, and publish the latest version of the Agreement on the e-CNY APP according to law. The updated Agreement shall take effect on the date of publication. You should pay attention to and understand the latest version of the Agreement issued by BOC. If you do not agree on the updated Agreement, you should immediately stop using the Service, otherwise, it will be deemed that you agree on and accept the updated Agreement.
5.2 Matters not covered herein shall be subject to the User Service Agreement for E-CNY Wallet of Bank of China Limited and relevant affiliated rules. The Agreement is a supplement to other existing agreements between both parties. In case of any conflict between the Agreement and other existing agreements, unless otherwise agreed, the Agreement shall prevail in relation to the Service.
5.3 The Agreement shall be governed by the laws of the People’s Republic of China. If there is no express provision in laws, the prevailing financial practices shall apply. Disputes arising in the course of performance of the Agreement shall be settled through negotiation first. Where negotiation fails, either party shall have the right to file a lawsuit to the people’s court in the place where BOC is located.
The Agreement shall come into force on the date when you confirm to accept the Agreement and BOC accepts your application to provide the Service. All the authorizations you have made in accordance with the Agreement shall also come into force at the same time, and will be terminated at the time when BOC receives your application for rescinding the Agreement and closes the Service for you accordingly. Even if the Agreement is terminated, it does not mean the cancellation of the unfinished instructions sent before the termination, nor can it eliminate any legal consequences brought by the transactions before the termination.
